Understanding your rights: Our Agreement

At Digital Estate, we believe in fair, transparent, and results-driven digital marketing. Our services are designed to help your business grow, and we stand by our commitment to delivering what we promise.

By using our services, you agree to these Terms & Conditions. Please read them carefully.

1. Definitions

“We,” “us,” “our” – refers to Digital Dragon Ltd (trading as Digital Estate). “Client,” “you,” “your” – refers to any individual or entity purchasing services from us. “Services” – includes all digital marketing, web development, consulting, and related services provided by Digital Estate.

2. General Terms

These terms apply to all services provided by Digital Estate. Digital Estate reserves the right to update these terms at any time. Updates will be communicated via email or website. Continued use of our services after an update constitutes acceptance of the revised terms.

3. Service Delivery

All services will be delivered as outlined in the client agreement or proposal. Delivery timelines are estimated and may vary based on client responsiveness, technical factors, and project complexity. Clients must provide timely and accurate information, approvals, and access required for service completion. Delays caused by the client do not qualify for refunds, service extensions, or compensation.

4. Payments & Billing

All service fees are outlined in your contract, proposal or order confirmation. All prices on this website are excluding GST. Payments must be made in advance unless otherwise agreed in writing. Invoices are due on receipt. Subscription-based services auto-renew monthly unless canceled in advance. Late payments may result in service suspension or termination.

5. Platform Usage Fees & Requirements

Additional Platform Usage Fees Apply* Certain platform features incur usage-based charges including phone number rentals, AI messaging credits, premium integrations, and SMS overages. These third-party platform fees typically range from $10-$50 monthly for most small businesses and are billed separately from your package.

Third-Party Platform Charges

Your monthly package includes access to our marketing platform and services as described. However, certain platform features incur additional usage-based charges that are billed directly by the platform provider and are not included in your monthly package fee.

Common Usage-Based Charges Include:

  • Phone number rentals ($2-5 per number per month)
  • AI messaging credits (varies by usage volume)
  • Premium third-party integrations (varies by service)
  • Advanced automation triggers and actions
  • Premium templates and marketplace add-ons
  • Additional storage beyond standard limits

SMS Integration Requirements

For packages including SMS capabilities, you must provide a compatible mobile device with an active unlimited text messaging plan. This device will be used to integrate with our SMS system and must remain connected to our platform for proper functionality. You are responsible for:

  • Providing and maintaining the mobile device
  • Ensuring continuous cellular service with unlimited texting
  • Monthly cellular service charges
  • Device replacement if needed for technical compatibility

Billing and Payment Platform usage charges appear as separate line items on your account and are billed monthly based on actual usage. You are responsible for monitoring your usage and understanding associated costs. Most small to medium businesses typically incur $10-$50 in additional platform fees monthly.

Cost Management We recommend reviewing your platform billing dashboard regularly to monitor usage-based charges. Our team can provide guidance on optimizing feature usage to manage costs effectively, but you remain responsible for all platform charges incurred through your account.

Transparency Commitment We will inform you of any features that typically incur additional charges during setup and training, but ultimate responsibility for monitoring and managing these costs rests with you as the account holder.

6. Money-Back Guarantee

We offer a money-back guarantee if Digital Estate fails to deliver the agreed-upon services or for some services, within a 7 day window from signup.

However, refunds will not be issued under the following conditions:

The service was delivered as agreed, but the client is not satisfied with the results. The client fails to provide required approvals, content, logins, or information needed for service completion. The client changes their mind, switches providers, or decides to go in another direction. Refund requests are made outside the 7-day eligibility period from signup.

If a refund is granted, Digital Estate reserves the right to deduct any external costs incurred (e.g., ad spend, software fees) before processing the refund.

Non-Refundable Fees:

Setup fees, onboarding fees, third-party ad spend, third-party fee’s, templates and resources purchased to fulfill your order or any initial consulting fees are non-refundable under all circumstances. After 7 days from initial payment, no refunds will be issued. Refunds will not be provided for partially completed subscription periods.

Chargebacks and Disputes:

Clients agree to contact us directly to resolve any disputes before initiating chargebacks. We reserve the right to terminate services for any client who initiates a chargeback without prior communication.

7. Client Responsibilities

To ensure successful service delivery, clients must:

Provide accurate business details, complete onboarding, provide all required access, and campaign approvals promptly. Be responsive to feedback requests, ad approvals, and strategy discussions. Ensure that any existing marketing accounts (Google Ads, Meta, LinkedIn) are accessible for integration. Acknowledge that lack of engagement, delays, or missing information does not qualify for refunds or service extensions.

8. Cancellations & Termination

Clients may cancel monthly services at any time before the next billing cycle, unless within the 3 month minimum on select products or in an annual agreement. Cancellation requests must be submitted via email or through the client portal. No refunds will be issued for partially completed subscription periods unless covered under the refund policy. Digital Estate reserves the right to terminate services immediately if the client violates these terms & conditions, fails to make payments or engages in abusive or inappropriate behaviour toward our team.

9. Intellectual Property & Ownership

All content, ads, websites and marketing materials created by Digital Estate remain our property until full payment is received. Upon full payment, clients receive a non-exclusive, non-transferable license to use the delivered work. Digital Estate retains the right to showcase completed projects in its portfolio unless a confidentiality agreement is in place.

10. Confidentiality & Data Protection

Both parties agree to maintain confidentiality regarding sensitive business and marketing information. Digital Estate complies with NZ data protection laws and ensures the secure handling of client data. We do not share or sell client data to third parties.

11. Limitation of Liability

Digital Estate is not liable for indirect, consequential, or incidental damages arising from service use. Our liability is limited to the amount paid for the specific service in question. We do not guarantee specific rankings, leads, or sales outcomes, as results depend on market conditions, competition, and external factors beyond our control. By using our services, you agree to the collection and processing of your data in accordance with our Privacy Policy.

12. No Guarantee of Specific Results

While we implement proven marketing strategies, Digital Estate cannot guarantee:

Specific SEO rankings (as search algorithms fluctuate). Minimum ad performance metrics (e.g., clicks, impressions, conversions). A set return on ad spend (ROAS) or guaranteed lead volume. Success varies based on industry competition, market conditions, and client engagement.

13. Force Majeure

Digital Estate is not responsible for service disruptions caused by events beyond our control, including:

Natural disasters, cyberattacks, or major technical failures. Third-party platform changes (for example: Google, Meta, LinkedIn, WordPress). Government actions or legal restrictions affecting digital advertising.

14. Subscription Renewal & Cancellation

All subscriptions auto-renew unless canceled before the next billing cycle. Clients must submit cancellation requests via the client portal or support email.

15. Dispute Resolution & Chargebacks

Clients must contact Digital Estate before filing any chargeback or dispute. We reserve the right to terminate services for any client who initiates a chargeback without prior communication. Any legal disputes will be governed by New Zealand law.

16. Third-Party Tools and Integrations

Our services may integrate or rely on third-party platforms. Digital Estate is not responsible for the availability, functionality, or reliability of these third-party tools or any damages caused by their use.

17. White Label Platform Provider

We utilize GoHighLevel as our white-label software provider. Important disclaimers:

  • We do not own, develop, or control the underlying software platform
  • GoHighLevel is responsible for platform functionality, uptime, and technical infrastructure
  • We are not liable for platform outages, technical issues, or feature limitations
  • Platform updates, changes, or discontinuation of features are beyond our control
  • Any platform-related technical issues must be resolved through GoHighLevel’s systems
  • We provide services and support within the scope of our expertise but cannot guarantee platform performance

18. Non-Disparagement Clause

Clients agree not to make defamatory, misleading, or harmful public statements about Digital Estate or Digital Dragon Ltd that could damage our reputation.

All disputes must be handled privately and professionally through the official contact channels provided.

19. Disclaimer of Affiliation

Digital Estate is an independent digital marketing agency and is not affiliated with, endorsed by, or officially connected to any social media platforms or search engines, including but not limited to Facebook, Instagram, X (formerly Twitter), LinkedIn, Pinterest, Google Business Profile, TikTok, and YouTube.

All platform names and logos are trademarks of their respective companies. Any mention of these platforms is for descriptive purposes only, and Digital Estate does not claim any commercial rights to their trademarks.
